Aris4e Client Service & Growth Guarantee: Terms and Conditions Effective Date: June 29, 2025 This Agreement outlines the terms between Aris4e (referred to as "Aris4e" or "the Company") and its clients (referred to as "the Client") regarding the provision of digital marketing services and the Aris4e Customer Growth Guarantee ("Guarantee"). Part 1: Initial Engagement & Monitoring 1.0 Starting Our Partnership & Right to Refuse Initial Engagement a. Engagement between Aris4e and the Client, and the applicability of these Terms and Conditions, begins when the Client successfully books an initial consultation call with Aris4e. b. No services, including the "Growth Blueprint & Baseline Monitoring" phase described in Section 1.1, will commence or be rendered by Aris4e until after the initial consultation call and only upon mutual agreement to proceed with that specific service phase. c. Right to Refuse Initial Engagement: Aris4e reserves the right to immediately cancel the initial consultation call and decline any further engagement with any individual or entity, without any obligation for services or refunds, including any implicit or explicit guarantees, from the moment the call is booked, if the Client or any of its representatives, upon booking the call or during any pre-call interaction, engage in conduct that Aris4e, in its sole discretion, deems: i. Discriminatory, including but not limited to acts or expressions that are racist, Islamophobic, or based on religion, nationality, disability, or any other protected characteristic. ii. Abusive, harassing, threatening, or otherwise unprofessional towards Aris4e personnel. iii. Illegal or promoting illegal activities. iv. Possessing insufficient potential for success with Aris4e's services, based on information provided during the booking process or pre-call interactions. d. Any decision to refuse initial engagement based on this clause is final. 1.1 Growth Blueprint & Baseline Monitoring (Initial Partnership Phase) a. For new Clients, engagement with Aris4e typically progresses to a "Growth Blueprint & Baseline Monitoring" phase. This initial phase has a duration of three (3) consecutive months, during which Aris4e's services are provided at no charge to the Client, subject to Section 1.4. This 3-month period will officially commence upon mutual written agreement to begin this phase, following the initial consultation call. b. The primary purpose of this phase for Aris4e is to: i. Conduct a comprehensive audit and initial optimization of the Client's existing online presence (e.g., Google My Business, website, social media). ii. Implement and verify the functionality of Aris4e's tracking systems, including dedicated call tracking numbers, website form tracking, and CRM integration, to accurately monitor inbound inquiries and customer acquisition. iii. Establish a verifiable "Baseline Customer Acquisition" (as defined in Section 2.1.b) based on data collected and observed directly by Aris4e during this 3-month period. iv. Provide the Client with regular monthly reports on the observed baseline performance and initial optimizations. v. Assess the Client's operational readiness and suitability for Aris4e's paid service plans and associated growth guarantees. 1.2 Client Responsibilities During Monitoring Phase a. The Client will grant Aris4e full and unrestricted access to all necessary platforms, accounts, and data required for setup, optimization, and accurate tracking (e.g., Google My Business, website backend, analytics). b. The Client will cooperate fully with Aris4e's efforts to implement tracking systems and provide any requested information relevant to the baseline measurement. c. The Client will refrain from engaging in, or contracting with any third party for, digital marketing activities (including but not limited to SEO, GMB management, paid advertising, or social media marketing) for direct lead generation during this 3-month monitoring phase. The Client must also confirm they have not worked with another digital marketing agency within the twelve (12) months prior to the commencement of this monitoring phase. This is critical for accurate baseline measurement. 1.3 Conclusion of Monitoring Phase Upon the completion of the 3-month "Growth Blueprint & Baseline Monitoring" phase, Aris4e will provide the Client with a detailed "Growth Blueprint Report," summarizing the established Baseline Customer Acquisition and presenting a tailored proposal for a suitable paid service plan (Plan 4, Tier 1, Tier 2, or Tier 3), as outlined in Part 2 of this Agreement. 1.4 Client Decision After Monitoring a. The "Growth Blueprint & Baseline Monitoring" phase is provided at no upfront cost. b. Upon the completion of the 3-month phase, Aris4e will present the Client with a detailed "Growth Blueprint Report" and a tailored proposal for a suitable paid service plan. c. If the Client chooses NOT to proceed with any of Aris4e's paid service plans (Plan 4, Tier 1, Tier 2, or Tier 3) after the completion of the 3-month monitoring period, the Client agrees to provide Aris4e with a clear explanation or feedback regarding their decision. This feedback is solely for Aris4e's internal improvement and understanding. Part 2: Paid Service Plans & Growth Guarantees 2.0 Service Tiers Overview Following the "Growth Blueprint & Baseline Monitoring" phase, Clients may opt for one of the following paid service plans, each designed for different growth objectives and investment levels. The "Guarantee Period" for guaranteed paid plans will be the first three (3) consecutive months of the chosen paid service. 2.1 Definitions for Paid Service Plans & Guarantees a. "New Customer": For the purpose of this Guarantee, a "New Customer" is defined as a unique individual or household that contacts the Client through a tracking method provided or managed by Aris4e (e.g., dedicated call tracking number, website form, or verified direct message), resulting in a scheduled estimate or booked service call, and was not a previous customer of the Client within the last {12} months. This definition will be mutually agreed upon in writing by Aris4e and the Client prior to the start of the Guarantee Period. b. "Baseline Customer Acquisition": This refers to the Client's average monthly new customer acquisition collected and verified by Aris4e during the immediately preceding "Growth Blueprint & Baseline Monitoring" phase. This established baseline will be formally communicated to and acknowledged by the Client prior to the commencement of any paid service plan. c. "Guarantee Period": The Guarantee Period will be the first three (3) consecutive months of the agreed-upon paid service contract, commencing on the date the chosen paid service plan officially begins, immediately following the completion of the "Growth Blueprint & Baseline Monitoring" phase. 2.2 Plan 4: The Custom Plan (No Growth Guarantee) a. Description: At Aris4e Marketing Agency, we understand that every business is unique. This flexible plan is tailored specifically to your needs, allowing you to choose the services that matter most to you, whether it’s social media management, SEO optimization, content creation, or a combination thereof. b. Monthly Fee Range: $100.00 USD to $4,000.00 USD (Specific pricing will be determined based on the customized services selected). c. Service Details: As agreed upon in a separate, detailed service addendum. d. Exclusion of Guarantee: This Plan 4: Custom Plan explicitly does NOT include any of the 1.5x, 2x, or 4x growth guarantees offered with Aris4e's Tier 1, Tier 2, or Tier 3 plans. This plan is designed for tailored service delivery without a specific performance guarantee. 2.3 Tier 1: The "Small Business Accelerator" Plan a. Target Client: Home Services businesses with current monthly revenue up to approximately $5,000. b. Monthly Fee: $499.99 USD c. Services: Ongoing Google My Business (GMB) management, proactive review management (setting up systems, basic response drafting), essential social media presence (e.g., 3 posts/week on 1 platform). (Full service details will be provided in a separate Service Agreement). d. Growth Guarantee: Aris4e guarantees at least 1.5X (150%) growth in New Customer Acquisition compared to the Baseline Customer Acquisition within the Guarantee Period. If this growth target is not met, Aris4e will refund the full service fees paid for the Guarantee Period. This guarantee applies automatically upon Client's selection of this plan. 2.4 Tier 2: The "Growth Catalyst" Plan a. Target Client: Home Services businesses with current monthly revenue from $6,000 to $10,000. b. Monthly Fee: $1,299.99 USD c. Services: All Tier 1 services plus: Advanced GMB & Local SEO strategy, enhanced social media management (e.g., 4-5 posts/week on 2 platforms, video ideas), basic website optimization consultation, comprehensive lead tracking & reporting. (Full service details will be provided in a separate Service Agreement). d. Growth Guarantee: Aris4e guarantees at least 2X (200%) growth in New Customer Acquisition compared to the Baseline Customer Acquisition within the Guarantee Period. This guarantee is ONLY valid if Aris4e has formally recommended the Client for this specific guarantee tier. i. Refund Structure for Tier 2: 1. If less than 1.5X growth is achieved: Full refund of service fees paid for the Guarantee Period. 2. If 1.5X growth is achieved but less than 2X growth is achieved: Aris4e will refund the difference between the Tier 2 monthly fee ($1,299.99) and the Tier 1 monthly fee ($499.99) for each of the three (3) months of the Guarantee Period, totaling $2,400.00 USD. 2.5 Tier 3: The "Market Dominator" Plan a. Target Client: Home Services businesses with current monthly revenue of $10,000 and above, based on the 3-month monitoring data. b. Monthly Fee: $1,999.99 USD c. Services: All Tier 2 services plus: Full-spectrum Local SEO & GMB domination (including local citation building), strategic social media advertising (management only, ad spend separate), content strategy & creation, website performance optimization, dedicated account management. (Full service details will be provided in a separate Service Agreement). d. Growth Guarantee: Aris4e guarantees at least 4X (400%) growth in New Customer Acquisition compared to the Baseline Customer Acquisition within the Guarantee Period. This guarantee is ONLY valid if Aris4e has formally recommended the Client for this specific guarantee tier. i. Refund Structure for Tier 3: 1. If less than 2X growth is achieved: Full refund of service fees paid for the Guarantee Period. 2. If 2X growth is achieved but less than 4X growth is achieved: Aris4e will refund the difference between the Tier 3 monthly fee ($1,999.99) and the Tier 2 monthly fee ($1,299.99) for each of the three (3) months of the Guarantee Period, totaling $2,100.00 USD. 2.6 Guarantee Eligibility (for Tier 1, Tier 2 & Tier 3) The applicability and validity of the numerical Customer Growth Guarantee for the "Small Business Accelerator" (Tier 1), "Growth Catalyst" (Tier 2) and "Market Dominator" (Tier 3) plans is expressly conditional upon Aris4e's formal recommendation for Tier 2 and Tier 3, and generally applies to Tier 1 upon selection. Please note that Plan 4: The Custom Plan, as outlined in Section 2.2, is explicitly excluded from any and all growth guarantees. Aris4e reserves the sole right to assess a Client's suitability for a guaranteed higher-tier service plan based on, but not limited to, the data collected during the "Growth Blueprint & Baseline Monitoring" phase, the Client's operational readiness, market conditions, and Aris4e's professional judgment regarding its capacity to deliver the specified growth. If a Client chooses to enroll in a Tier 2 or Tier 3 plan without Aris4e's formal recommendation for the associated guarantee, then the numerical growth guarantee for that specific plan will not apply, and the Client will be explicitly informed of this prior to contract execution. Part 3: General Terms & Conditions 3.1 Measurement Methodology & Tracking a. New Customer acquisition will be measured using a dedicated call tracking number provided and managed by Aris4e, inbound form submissions tracked via Google Analytics on Client's website (if applicable), and/or directly verified new customer records from Client's CRM system or booking software. b. The Client agrees to provide Aris4e with full and unrestricted access to all necessary data, platforms, and reporting tools required for accurate measurement, including but not limited to Google My Business insights, Google Analytics, CRM data, and call tracking logs. c. Both parties agree to regularly review progress and data at monthly intervals during the Guarantee Period. 3.2 Client Responsibilities for Guaranteed Plans The Guarantee (for any tier it applies to) is expressly conditional upon the Client fulfilling the following responsibilities throughout the Guarantee Period: a. Prompt Communication: Client must respond to all Aris4e communications and requests for information, approvals, or assets within two (2) business days. b. Operational Readiness: Client must maintain full operational capacity to handle increased customer inquiries and service delivery (e.g., promptly answering phone calls during stated business hours, responding to online inquiries within four (4) business hours, having sufficient staff to service new leads, and maintaining reasonable service quality). c. No Competing Marketing Activities: Client will not engage in, or contract with any third party for, digital marketing activities (including but not limited to SEO, GMB management, paid advertising, or social media marketing) that directly compete with Aris4e's services during the Guarantee Period. This includes confirming that Client has not worked with another digital marketing agency within the twelve (12) months prior to the commencement of services with Aris4e. d. Implementation of Recommendations: Client agrees to promptly implement all reasonable recommendations provided by Aris4e that are necessary for the success of the Guarantee (e.g., adding specific review request links to invoices, ensuring staff are trained on asking for reviews, providing specific job photos as requested). e. Website Functionality: Client's website (if applicable) must remain fully functional and accessible throughout the Guarantee Period. f. Positive Customer Service: Client will maintain a good standard of customer service as customer experiences directly impact reviews and repeat business, which are beyond Aris4e's direct control. 3.3 Guarantee Claim & Refund Process a. If, at the end of the Guarantee Period, the growth target for the Client's chosen (and guaranteed) plan has not been met, the Client may submit a Guarantee claim in writing to Aris4e within seven (7) business days following the end of the Guarantee Period. b. The claim must include detailed data and evidence supporting the claim, consistent with the agreed-upon Measurement Methodology. c. Aris4e will review the claim and provided data within five (5) business days. d. If the claim is validated AND the shortfall was due to Aris4e's failure to deliver on its agreed-upon services (and not due to Client's breach of responsibilities), Aris4e will process the applicable refund (full or partial as per the tiered guarantee refund structures outlined in Sections 2.3, 2.4, and 2.5) within three (3) business days of validation. e. This refund represents the Client's sole and exclusive remedy for any failure to meet the Guarantee. 3.4 Exclusions The Guarantee does not apply in the event of: a. Client's breach of any of their responsibilities outlined in Section 1.2 (during monitoring) or 3.2 (during paid service). b. Force majeure events (e.g., acts of God, war, terrorism, natural disasters, widespread internet outages affecting a significant portion of the service area, or major unforeseen platform algorithm changes beyond Aris4e's control that severely impact lead flow for the entire industry) or significant, unforeseen economic downturns directly impacting the Client's industry during the Guarantee Period. c. Client's business ceasing operations, being acquired, or undergoing significant operational changes that hinder lead fulfillment during the Guarantee Period. 3.5 Termination Due to Client Conduct or Unsuitability (During Service) a. Aris4e is committed to maintaining a professional, respectful, and productive working relationship. Aris4e reserves the right to immediately terminate this Agreement, including the "Growth Blueprint & Baseline Monitoring" phase or any paid service plan, at any point after the initial consultation call, if the Client or any of its representatives engage in conduct or exhibit characteristics that Aris4e, in its sole discretion, deems: i. Discriminatory, including but not limited to acts or expressions that are racist, Islamophobic, or based on religion, nationality, disability, or any other protected characteristic. ii. Abusive, harassing, threatening, or otherwise unprofessional towards Aris4e personnel, partners, or other clients. iii. Illegal or promoting illegal activities. iv. Possessing insufficient potential for success with Aris4e's services, based on ongoing observation of the client's operational inefficiencies, lack of market demand for their services, inability to service new leads, or other factors that would fundamentally prevent Aris4e from achieving results. b. Financial Consequence of Termination under this Section: In the event of termination under this Section 3.5: i. Any service fees paid to Aris4e for the current service period (month) are non-refundable, representing compensation for services rendered up to the point of termination. ii. Aris4e will cease all active advertising campaigns managed on behalf of the Client. Any unspent advertising budget (funds directly allocated by the Client for advertising spend that have not yet been used for ad placements) will be refunded to the Client within seven (7) business days of termination. iii. No further guarantees or liabilities for future service or performance will apply. c. Any decision to terminate based on this clause will be final. 3.6 Payment Terms for Paid Services a. All monthly fees for paid service plans (Plan 4, Tier 1, Tier 2, Tier 3) are due in advance on the 1st day of each month, commencing from the start date of the chosen paid service plan. b. Invoices will be issued seven (7) days prior to the due date. c. Payments are to be made via bank transfer, credit card, or agreed-upon payment portal. d. In the event of non-payment by the due date, Aris4e reserves the right to immediately pause all services until payment is received. If payment is not received within seven (7) days of the due date, Aris4e may, in its sole discretion, cancel the Client's service agreement. Any service fees paid for the current monthly period prior to cancellation due to non-payment will not be refunded. 3.7 Termination of Services (General) a. Either party may terminate the paid service agreement with thirty (30) days' written notice after the completion of the initial 3-month Guarantee Period. b. Aris4e reserves the right to terminate services immediately without refund if the Client breaches any terms of this Agreement, particularly those related to Client Responsibilities (Sections 1.2 and 3.2), unless otherwise specified in Section 3.5. 3.8 Limitation of Liability Aris4e's total liability under this Agreement, regardless of the cause of action, will be limited to the total service fees paid by the Client for the Guarantee Period. Aris4e will not be liable for any indirect, incidental, consequential, special, or exemplary damages. 3.9 Governing Law & Dispute Resolution a. This Agreement will be governed by and construed in accordance with the laws of the State of California. b. Any disputes arising under this Agreement will first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, the parties agree to engage in non-binding mediation prior to pursuing litigation. 3.10 Entire Agreement This Agreement, along with the specific Service Agreement detailing the chosen plan's services, constitutes the entire understanding between Aris4e and the Client, superseding all prior discussions, negotiations, and agreements, whether oral or written. CLIENT ACKNOWLEDGMENT: By signing this Agreement, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
